The Public Filings That Name Every Decision-Maker

Corporate annual report filings are among the richest public sources of executive contact information available. Every publicly traded company files an annual report (10-K) and a proxy statement (DEF 14A) with the SEC, naming every executive officer and board director along with their titles, backgrounds, and compensation. Every non-profit organization files an IRS Form 990 that lists every officer, director, trustee, and key employee. Every corporation and LLC files an annual report with its state of incorporation (and with every state where it is registered as a foreign entity) that lists its officers, directors, managers, and registered agent.

These filings are public records, freely available through the SEC's EDGAR system (for public companies), the IRS's Tax Exempt Organization Search (for non-profits), and state secretary of state business entity databases (for state annual reports). They are updated annually, which means the information is reasonably current. And they identify the people at the top of the organization -- the CEO, CFO, COO, general counsel, board members, and other senior leaders who are the decision-makers for major purchases, strategic partnerships, and vendor relationships.

For B2B sales and marketing teams, these filings are an underutilized source of high-quality prospect data. The filings do not always include email addresses directly, but they provide the executive names and titles that make it possible to find email addresses through company websites, LinkedIn profiles, and email pattern identification.

SEC 10-K Annual Report Processing

The 10-K annual report that every publicly traded company files with the SEC contains several sections with executive contact data. The "Executive Officers" section (typically in Part I, Item 1 or Part III, Item 10) lists the name, age, title, and biographical background of each executive officer. The signature page lists the names and titles of the executives who signed the filing (typically the CEO and CFO). The Section 302 and Section 906 certifications are signed by the CEO and CFO individually. The exhibits may include employment agreements, severance agreements, and other documents that contain executive contact information.

The 10-K is filed as an HTML document on the SEC's EDGAR system, making it directly processable for email extraction. Navigate to EDGAR (sec.gov/cgi-bin/browse-edgar), search for the company, and access the most recent 10-K filing. Save the filing's HTML pages -- particularly the executive officers section, the signature page, and the exhibits index -- as HTML files. Upload to Email Extractor to extract any email addresses that appear in the filing text. While most 10-K filings do not include executive email addresses in the body of the filing, some include email addresses in exhibits (particularly in employment agreements and in the company's contact information for the filing agent).

For the executive names extracted from the 10-K, use the company's investor relations or leadership team page (which often lists executives with their email addresses or a contact form) to find direct contact information. Save the investor relations page as HTML and upload to Email Extractor.

Proxy Statement (DEF 14A) Director and Executive Data

The proxy statement (DEF 14A) is filed before the company's annual shareholder meeting and contains the most detailed publicly available information about the company's board of directors and named executive officers. For each director, the proxy discloses name, age, principal occupation and employer, board committee memberships (audit committee, compensation committee, nominating and governance committee, and any special committees), other public company board memberships, biographical background, and the director's qualifications and experience that led to their nomination.

For the named executive officers (typically the five most highly compensated executives), the proxy discloses detailed compensation data (salary, bonus, stock awards, option awards, non-equity incentive plan compensation, and all other compensation), employment agreements, change-in-control provisions, and biographical information.

The proxy statement is filed as HTML on EDGAR. Save the director and executive officer sections as HTML. Upload to Email Extractor to extract any email addresses. More importantly, use the director names and their listed principal occupations to find their business email addresses through their employer's website. A director who is listed as "Managing Director, XYZ Capital Partners" can be found on XYZ Capital Partners' team page, which may include their email address.

Non-Profit Form 990 Officer and Director Extraction

Every tax-exempt organization (501(c)(3) charities, 501(c)(6) trade associations, 501(c)(4) social welfare organizations, private foundations, and other exempt entities) with gross receipts over $200,000 or total assets over $500,000 must file IRS Form 990 annually. The Form 990 is a public document (with the exception of the Schedule B donor list, which is not publicly available for most organizations).

Part VII of Form 990 lists every officer, director, trustee, and key employee of the organization, including their name, title, average hours per week devoted to the organization, reportable compensation from the organization, and reportable compensation from related organizations. For large non-profits, this section can list 20-50 or more individuals, including the executive director/CEO, CFO, development director, program directors, and every member of the board of directors.

Form 990 filings are available through the IRS Tax Exempt Organization Search (apps.irs.gov/app/eos), ProPublica's Nonprofit Explorer (projects.propublica.org/nonprofits), and Candid's GuideStar (guidestar.org, which requires a free registration for basic access). Download the Form 990 PDF for the target non-profit organization. Upload the PDF to Email Extractor to extract any email addresses that appear in the filing. Form 990s occasionally include email addresses in the header (the organization's contact information) and in the preparer information section.

For the officer and director names extracted from the Form 990, visit the non-profit's website leadership or board page to find email addresses. Save the leadership page as HTML and upload to Email Extractor. Non-profit board directors are typically prominent community and business leaders whose email addresses are findable through their professional affiliations.

State Annual Report and Business Entity Filing Data

State secretary of state offices require corporations, LLCs, limited partnerships, and other business entities to file annual reports (or biennial reports, depending on the state) that include the entity name, registered agent name and address, principal office address, names and addresses of officers (for corporations) or managers/members (for LLCs), and sometimes a contact email address. These filings are available through each state's secretary of state business entity search (the specific URL varies by state, but searching for "[state name] secretary of state business entity search" locates it).

State annual report filings are particularly valuable for identifying the officers and principals of private companies, which do not file with the SEC and whose executive information is not otherwise publicly available. An LLC that operates a chain of restaurants, a corporation that owns commercial real estate, or a private equity portfolio company -- their officers and principals are named in their state annual report filings.

Search your target state's business entity database for companies in your target industry (most state databases allow searching by entity name, and some allow searching by officer name, registered agent, or industry classification). Save the entity detail pages as HTML. Upload to Email Extractor to extract officer, director, and registered agent email addresses from the filing data.
